Objectives and competences
In this course students:
1. Enhance their theoretical knowledge in the field of the European Union Law.
2. Gain the ability to apply their theoretical knowledge in practical cases (the awards) of the Court of Justice of the EU.
3. Acquire approach to analysis of some legal institutes of the European legal order.
Content (Syllabus outline)
Foundations of business law, concept, sources (EU sources, international sources, national sources)
Fundamental concepts of EU law (EU in legal terms, sources of EU law, legal system and principles of EU law, EU institutions) and the internal market (economic freedoms, competition protection).
Company law and corporate governance
(EU rules in this area, incorporation of these rules into Slovenian company law (Companies Act-1), individual forms of corporate entities, incorporation, corporate bodies, liability for obligations, mode of governance (one-tier and two-tier corporate governance system), socially responsible and sustainable corporate governance
Contract law (contract law as part of civil law, general and specific prerequisites for the valid contract conclusion, nullity and voidability, obligations to indemnify and to secure and to consolidate and terminate obligations, treatment of particular types of contract and of securities).
Resolving business disputes (judicial and alternative dispute resolution: arbitration, mediation, conciliation).
