Objectives and competences
This subject aims to broaden and to deepen basic knowledge on company law by exhaustive and detailed study of specific institutes in EU company law, including relevant jurisprudence.
Content (Syllabus outline)
Company law in EU.
Right of establishment.
Unification of company law: regulations.
Harmonization of company law: directives.
Transfer of company seat
Cross-border mergers
Supranational types of business entities: European company, European cooperative, European Economic Interest Grouping (EEIG).
Jurisprudence: Centros, Uberseering, Inspire Art, Daily Mail.
Company law in EU lege ferenda.
Learning and teaching methods
• Lectures,
• seminars,
• tutorial. Part of the tutorial is in a classroom while the rest is in the form of e-learning (e-tutorials may be given via video-conferencing or with the help of specially designed e-material in a virtual electronic learning environment),
• individual work,
• dealing in concrete cases,
• discussion of judicial decisions.
Intended learning outcomes - knowledge and understanding
Upon completion of this course the student will be able to:
Demonstrate his understanding of European dimension of company law, especially the meaning of unification and harmonization of the company law
Demonstrate his understanding of the influence of the European company law to the domestic legal and economic system.
Intended learning outcomes - transferable/key skills and other attributes
Oral and writing expression of legal problems in european company law, usage of abstract rules of european company law in concrete legal relations.

Prerequisits
Knowledge of general institutions in EU law, as well as civil law and company law.
