Objectives and competences

The aim of this course is to acquire in-depth knowledge about the structure of bodies in capital companies and institutions, their powers, duties and responsibilities and relationships with shareholders and other stakeholders, and thereby train candidates for practical work.

Content (Syllabus outline)

Corporate governance in healthcare refers to organizational processes and strategic decision-making in healthcare institutions. The goal of corporate governance is the effective management of healthcare institutions and the achievement of the best possible results for patients. The formal management structure in legal entities in healthcare, the types of bodies and their powers, and their mutual relations are discussed. In terms of good corporate governance practices, the responsibilities of management, control and management will be demarcated. Here, in addition to the legal regulation, emphasis will be placed on the management codes of public joint-stock companies and the OECD rules for good management practice in state-owned enterprises.

Intended learning outcomes - knowledge and understanding

Knowledge and understanding: Knowledge level: has a basic understanding and knowledge in the field of economic status law and management, with an emphasis on healthcare activities. At work, he is able to recognize and define and use theoretical knowledge at the level required for the publication of scientific research findings. Ethical aspect: able to analyze and manage ethical dilemmas and work proactively in collaboration with others to find solutions. Methodological knowledge in the field of discipline: understanding of methodological approaches in the field of corporate law.

Intended learning outcomes - transferable/key skills and other attributes

Cognitive/Intellectual skills: Analysis: is able to analyze the legal status of directors and supervisors, recognizes the deficiency of available data and is able to evaluate conflicting scientific and research findings in the field of corporate governance in healthcare. ? Synthesis: able to connect new insights or approaches in such a way that they contribute to the development of understanding in the field of the status of entities in healthcare and their management. ? Evaluation: the level of knowledge and understanding enables him to independently evaluate research and methodologies. Can justify alternative approaches. ? Application: works independently and original in the process of solving problems and professionally manages the process of planning and carrying out tasks. Practical skills: Application of skills: able to operate in simple, predictable and/or special circumstances and has an overview of good practices.
